Services
These Terms apply to the ClosedBrackets website, support portal, subscriptions, maintenance services, support conversations, and any additional work we agree to perform.
Specific proposals, order forms, scopes, invoices, or written approvals may add to these Terms. If they conflict, the more specific commercial document controls for that engagement.
What Counts as a Request
A request means one clearly defined maintenance task that can be completed independently. Each request should have one objective and one deliverable.
- Examples include fixing one website bug, updating text on one page, replacing one icon or image, or adding one form to one page.
- Minor clarifications and minor revisions are included, but ongoing back-and-forth or repeated expansion of scope is not.
- If a submission includes multiple unrelated tasks, broader feature changes, or larger implementation work, ClosedBrackets may split it into multiple requests or treat it as additional work.
Maintenance Scope
Maintenance plans are intended for in-scope maintenance work, such as bug fixes, website audits, broken flows, content swaps, and minor website or interface changes.
- Maintenance scope does not automatically include new features, new tabs or pages, workflow redesigns, or larger enhancements.
- All submitted requests are reviewed before work begins so we can confirm whether the task falls within plan scope or needs additional work approval.
Subscriptions and Billing
Subscription fees are billed on a recurring basis unless otherwise stated in writing. Your plan includes the number of maintenance requests listed for the current billing cycle.
- Included request capacity resets at the start of each new billing cycle.
- Submitted maintenance requests reserve included capacity when submitted, not only when work begins.
- Plan pricing, support access, and renewal timing are shown in your subscription details, invoice, or order confirmation.
- If you cancel, your subscription remains active through the end of the paid period unless stated otherwise.
Additional Work
If a request falls outside maintenance scope, ClosedBrackets may prepare additional work on the same request for client review. Work in that stage does not begin until the client approves it and any required payment is completed.
- Additional work is priced separately from the maintenance subscription.
- While a request is under additional work review, the original maintenance request capacity remains reserved until the client accepts or declines that additional work decision.
- Once the client accepts or declines the additional work, the original maintenance request capacity is released in accordance with the portal workflow.
Client Responsibilities
You are responsible for providing accurate information, timely approvals, required access, and lawful content. Delays in client responses, missing credentials, or incomplete information may affect delivery timing.
- You must have the rights needed for any materials, content, credentials, or instructions you provide to us.
- You should review completed work and request any minor revisions within a reasonable period after delivery.
Support and Communication
Support access depends on the support tier included in your current plan. The support portal is intended for billing help, account questions, scope clarification, and support conversations that relate to your subscription or active work.
Chat access does not by itself expand the services included in a maintenance plan. Work is governed by the plan scope and any approved additional work.
Intellectual Property
Subject to full payment of applicable fees, the client owns the final custom deliverables specifically created for that client under the agreed scope. ClosedBrackets retains ownership of pre-existing materials, frameworks, internal tools, know-how, reusable code, templates, and general methods used to provide the services.
Disclaimers and Liability
ClosedBrackets provides the services using commercially reasonable care, but does not guarantee uninterrupted website availability, error-free third-party platforms, or outcomes dependent on client systems, external vendors, or services outside our control.
To the maximum extent permitted by law, ClosedBrackets is not liable for indirect, incidental, special, consequential, or punitive damages. Any direct liability should be limited to the amount paid for the affected services during the three months before the claim arose.
Suspension and Termination
We may pause, refuse, or terminate services for nonpayment, abuse, unlawful requests, security concerns, or repeated scope conflicts. You may stop using the services at any time, subject to any active billing commitments already incurred.
Changes to These Terms
We may update these Terms from time to time. We will update the date on this page when changes are made. Material changes to active commercial commitments should be handled with appropriate notice rather than quietly rewriting obligations after the fact.
